Article 6: OfficersSection 1: CompositionThe officers of the Associates of the Rhode Island Troopers Association shall consist of a President, Vice President, Secretary, Treasurer, Chaplain, Sergeant at Arms, Two Guards, and as many active representatives as the Executive Board sees fit. Section 2: Eligibility for OfficeAny active member who has been in good standing for as least one (1) full year prior to the holding of any election shall be eligible to hold office in the Association. Section 3: The PresidentThe President shall be the Chief Executive Officer of the Association and shall preside at all regular and special meetings of the Association and the Executive Board. The President shall have the executive power to enforce observance of the provisions of the Constitution and By – Laws. He or she shall have the power to call special meetings in accordance with the provisions of the Constitution and By – Laws and to appoint committees and representatives. The President shall be a signatory to all collective bargaining contracts entered into by the Association and shall, together with the Secretary and Treasurer, attest to all vouchers for the disbursement of funds. Upon completion of his or her term the President shall convey all unfinished business to his or her successor. The President shall have such authority and perform such duties as are unusually incident to the office of the President or which are delegated by the Executive Board or otherwise specifically delegated to other officers pursuant to this Constitution and By – Laws. Section 4: The Vice PresidentThe Vice President shall act as the President in the event of his or her absence, disability, or resignation, In the absence of the President, the Vice President shall preside at all meetings of the Association and the Executive Board and shall also perform such duties as shall be assigned by the Executive Board. In the event the President, for what ever reason, is unable to complete his or her term, the Vice President shall assume duties as President of the A.R.I.T.A. His or her Vice President shall be appointed as per Article 5, Section 3, Vacancies. Section 5: The SecretaryThe Secretary, together with the President ant Treasurer, shall attest to all vouchers for disbursement of funds. He or she shall maintain typed minutes of all regular meetings of the Association which shall be submitted for approval at the succeeding meeting. The Secretary shall conduct and maintain all general correspondence and shall keep a correct record of all transactions of the Association and a list of all members’ names and addresses. He or she shall keep an official record of all amendments to the Constitution and By – Laws. The Secretary shall keep and maintain a record of attendance. Section 6: The TreasurerThe Treasurer, together with the President and Secretary, shall approve and sign all vouchers for disbursement of funds and shall receive and deposit all Association funds in a bank approved by the Executive Board. The Treasurer shall sign all checks as required by the Executive Board, keep accurate records of all receipts and disbursements and shall perform such duties as are usual and incidental to the office. The Treasure shall within ten (10) days after the election of his or her successor, deliver to him or her all books, records and other papers relating to the office along with any other Association property and receive a receipt therefore. Section 7: Oath of OfficeAll officers of this Association when installed after election shall be required to take the following oath of office: “I do hereby solemnly pledge on my honor that I will faithfully fulfill the duties of my office as (insert title) of this Association during the term for which I have been elected and installed, and that I will support the Constitution and By – Laws of this Association, and perform the duties thereof to the best of my ability. I do further pledge that I will deliver to my successor in office all books, papers, and any other property of the Association that may be in my possession or under my control at the close of my official term, and that during my term of office I will not knowingly aid or support the activities of any organization seeking to undermine this Association, so help me God” Section 8: MiscellaneousThe officers of the Association are occupying positions of trust In relation to the Association and its members as a group. It is therefore, the duty of each such person to hold its money and property solely for the benefit of the organization and its members; and to manage, invest and expand the same in accordance with the Constitution and By – Laws, and any resolutions of the governing bodies adopted hereunder; and to refrain from holding or accepting any pecuniary or personal interest which conflicts with the interest of such organization; and to account to the organization for any frauds received by him or her in connection with transactions conducted by or on behalf of the Association. |
