Article 5: Executive Board

Section 1: Composition

The Executive Board shall be composed of the following officers of the Association: President, Vice President, Secretary, Treasurer, and four (4) active members elected in the same manner as all other officers and for the same term as the other officers. The Executive Board has the discretion to add or subtract one (1) member as it sees necessary.

Section 2: Quorums

A quorum of three (3) members of the Executive Board shall be required for conducting a meeting of the Executive Board.

Section 3: Vacancies

Except as otherwise provided herein, a vacancy in any office of the Association occurring between regular elections shall be filled by a majority vote of the Executive Board and the replacement so elected shall serve until the next regular election.

Section 4 Powers and Duties of the Executive Board

The Executive Board shall have full power and authority to conduct and manage the affairs of the Association and to act in all matters affecting the Association.
